Terms of Service

These Terms of Service (“Terms”) govern access to and use of PostGrid’s websites, dashboards, APIs, online tools, and related services made available through online sign-up (collectively, the “Services”). These Terms form a binding agreement between PostGrid Inc. (“PostGrid,” “we,” “us”) and the individual or entity accessing or using the Services (“Customer,” “you”).
By creating an account, clicking “I have read and agree to PostGrid’s Terms of Service and Privacy Policy,” using the Services, or otherwise indicating acceptance, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
Important – Relationship to Master Services Agreement
If you have entered into, or later enter into, an Order Form with PostGrid that references a Master Services Agreement (“MSA”), the MSA then takes the place of these Terms and governs your use of the Services covered by that Order Form.
1. Structure & Order of Precedence
The following apply to your use of the Services:
- These Terms
- Any Policies linked to or referenced herein
- Any online plan selection, pricing page, checkout confirmation, or usage tier presented at signup.
2. Eligibility & Account Registration
2.1 Eligibility
You may use the Services only if you:
- are at least 18 years old;
- have legal capacity to enter into a contract; and
- are not barred from using the Services under applicable law.
2.2 Account Registration
You must create an account to access most Services. You agree to:
- provide accurate and complete registration information;
- maintain the confidentiality of your login credentials; and
- remain responsible for all activities under your account, whether or not authorized.
PostGrid may suspend or terminate accounts that violate these Terms or appear fraudulent, compromised, or high-risk.
3. Services
3.1 Services Overview
PostGrid provides access to its cloud-based software, APIs, dashboards, online tools, and related products and services (collectively, the “Services”). The Services may include documentation, technical specifications, workflows, instructions, and other related materials, including updates, upgrades, and enhancements made available by PostGrid from time to time.
The specific features, functionality, usage limits, and capabilities available to you depend on the online plan selected at signup or through in-product upgrades.
3.2 Print & Mail Services
Print & Mail Services enable Customer to create, submit, and manage mailings using PostGrid’s software, APIs, and workflow tools. PostGrid coordinates the processing, production, and mailing of Customer-submitted content through its network of third-party print and mailing providers in accordance with the Service Level Agreement (SLA). PostGrid’s obligations relate to production and tendering of mail to the applicable carrier. Delivery timelines after carrier acceptance are outside PostGrid’s control and are governed by the applicable postal or carrier provider.
3.3 Address Verification Services
Address Verification Services enable Customer to autocomplete, verify, validate, and standardize address data through PostGrid’s APIs and dashboards. Address Verification Services utilize a combination of proprietary processes and third-party data sources to align address records with applicable postal standards. PostGrid does not guarantee that address verification results will eliminate all delivery failures, and Customer remains responsible for the accuracy and lawful use of submitted data.
3.4 Product-Specific Terms
Certain Services are subject to additional product-specific terms (“Product Terms”). The Product Terms applicable to each Service are available on PostGrid’s Legal Page and may include, without limitation:
In the event of a conflict between these Terms and the applicable Product Terms for a specific Service, the applicable Product Terms will control solely with respect to that Service.
3.5 Changes to the Services
We may modify or update the Services from time to time. We will not materially reduce the core functionality of paid online plans during your active Subscription Term.
3.6 Service Levels and Credits
If PostGrid fails to meet the service levels described in the SLA, Customer’s sole and exclusive remedy shall be the Service Credits expressly set out in the SLA. Service Credits apply only as provided in the SLA and do not entitle Customer to termination, refunds, or other damages except as expressly stated in these Terms.
3.7 Third-Party Services
The Services may integrate with or rely upon third-party carriers, data sources, software, cloud providers, or platforms (“Third-Party Services”).
PostGrid is not responsible for:
- the availability, accuracy, or performance of Third-Party Services;
- changes imposed by carriers or external providers; or
- delays caused by postal or logistics providers after mail has been tendered.
Your use of Third-Party Services is governed by those providers’ applicable terms.
4. License & Restrictions
4.1 License
PostGrid grants you a non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your Subscription Term.
4.2 Restrictions
You must not (and must not authorize others to):
- copy, modify, reverse engineer, or create derivative works of the Services;
- use the Services to build a competing product;
- share, resell, sublicense, or otherwise provide access to the Services to any third party, except to your employees and individual contractors who require access solely for your internal business purposes and who are bound by confidentiality and use restrictions no less protective than these Terms;
- exceed usage limits applicable to your online plan;
- attempt to circumvent security or usage controls;
- misuse API keys or engage in activity prohibited by the Acceptable Use Policy.
5. Customer Data
5.1 Ownership
You retain all rights in your Customer Data.
5.2 License to PostGrid
You grant PostGrid a limited license to process Customer Data:
- to provide and support the Services;
- to improve the Services; and
- to generate Aggregated Anonymous Data.
PostGrid may use Aggregated Anonymous Data for analytics, benchmarking, and business purposes.
5.3 Responsibilities
You are responsible for:
- ensuring you have all rights and permissions to provide Customer Data;
- ensuring Customer Data does not violate law or third-party rights; and
- implementing protections for your own systems, credentials, and data.
6. Security
PostGrid will maintain commercially reasonable administrative, technical, and physical safeguards as described in our Data Processing Addendum.
PostGrid is not responsible for unauthorized access caused by your failures (e.g., shared credentials, misconfigured API keys).
7. Account Duration
7.1 No Minimum Term
Self-serve online access is provided on a month-to-month, usage-based basis. There is no minimum commitment period.
7.2 Account Closure
You may close your account at any time through your account settings or by contacting PostGrid support. Closing your account does not relieve you of any obligation to pay Fees incurred prior to closure.
7.3 Account Suspension
If your account remains inactive for an extended period, PostGrid may suspend or close the account after reasonable notice.
8. Fees & Payment
8.1 Fees
You agree to pay all Fees incurred based on your actual use of the Services. Fees are calculated in accordance with the pricing displayed at the time of use or as otherwise made available through the Services.
PostGrid may update pricing from time to time. Any pricing changes will apply prospectively and will not affect Fees already incurred.
8.2 Billing
Fees are billed on a pay-as-you-go basis according to your usage of the Services.
Usage Fees may be billed in arrears. PostGrid may, in its discretion, require advance billing, prepaid balances, or automatic charging of your payment method to maintain account access.
Invoices or receipts are delivered electronically.
8.3 Recurring Payment Authorization
By entering payment details, you authorize PostGrid (and its payment processors) to charge all amounts automatically to your selected payment method.
8.4 Taxes
Fees exclude applicable taxes. If required by law, PostGrid will charge taxes unless you provide a valid exemption.
8.5 Overdue Amounts
Past-due amounts may accrue interest at 1% per month (or the maximum rate allowed by law). PostGrid may suspend Services for non-payment.
9. Termination
9.1 By Customer
You may stop using the Services or close your account at any time. All Fees incurred prior to termination remain payable. Fees are non-refundable except as required by law.
9.2 By PostGrid
We may suspend or terminate your access if:
- you violate these Terms or the Policies;
- your account is more than 30 days past due;
- your use creates risk, degrades the Services, or violates the AUP; or
- required for legal or security reasons.
9.3 Effect of Termination
Upon termination:
- you must stop using the Services;
- your access may be disabled;
- your data may be retained for up to one (1) year following termination and may be deleted thereafter, subject to our Privacy Policy and DPA.
Sections that should survive termination (e.g., payment obligations, confidentiality, IP, disclaimers, and limitations) will continue.
10. Intellectual Property
PostGrid retains all rights to the Services, software, documentation, logos, and related IP.
No rights are granted except those expressly stated in these Terms.
You retain rights to your trademarks and Customer Data.
11. Publicity
PostGrid may identify Customer as a user of the Services and may display Customer’s name and logo on PostGrid’s promotional materials, website, presentations, case studies, customer lists, and other marketing or investor communications, solely to indicate that Customer uses the Services. PostGrid will not suggest that Customer endorses PostGrid.
Customer may opt out of publicity use at any time by emailing legal@postgrid.com, and PostGrid will remove Customer’s name and logo from new marketing materials within a reasonable time. Customer agrees that no fees or compensation are owed in connection with this use.
12. Confidentiality
Both parties must protect each other’s Confidential Information and use it only to provide or receive the Services. Exceptions apply for information that is public, lawfully obtained, or independently developed.
A party may disclose Confidential Information if required by law, but must give notice where legally permitted.
13. Disclaimers
The Services are provided “as is” and “as available.”
To the fullest extent permitted by law, PostGrid disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability.
14. Indemnification
Customer Indemnification. You will defend and indemnify PostGrid from any third-party claim arising out of your Customer Data, your misuse of the Services, or your violation of these Terms or applicable law.
PostGrid IP Indemnification. PostGrid will defend Customer from any third-party claim alleging that the Services, as provided by PostGrid and used in accordance with these Terms, directly infringe a valid intellectual property right in the jurisdiction where the claim is brought, and will indemnify Customer for damages finally awarded by a court of competent jurisdiction or agreed to in settlement by PostGrid.
This obligation does not apply to claims arising from modifications not made by PostGrid, combinations with items not provided by PostGrid, Customer’s misuse of the Services, or use of free or beta features. The indemnifying party will control the defense and settlement of any covered claim, and the indemnified party must promptly notify the indemnifying party and provide reasonable cooperation.
If the Services are determined to infringe, PostGrid may modify the Services, obtain a license for continued use, or terminate the affected Services and refund prepaid, unused Subscription Fees. This Section sets out each party’s sole and exclusive remedy for third-party claims covered by this Section.
15. Limitation of Liability
To the maximum extent permitted by law:
- Neither party will be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, goodwill, data, or business interruption, even if advised of the possibility of such damages.
- Each party’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total Fees paid by you to PostGrid in the twelve (12) months preceding the event giving rise to the claim.
- If you have not paid any Fees to PostGrid during that period, PostGrid’s total liability will not exceed US $100.
The limitations in this Section do not apply to indemnification obligations, fraud, or willful misconduct.
16. General
16.1 Governing Law & Venue
These Terms are governed by the laws of the Province of Ontario, Canada, excluding its conflict-of-laws principles.
Each Party irrevocably submits to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada in respect of any dispute arising out of or relating to these Terms or the Services.
16.2 Assignment
You may not assign these Terms without PostGrid’s written consent. PostGrid may assign these Terms as part of a merger, sale, or corporate restructuring.
16.3 Force Majeure
Neither party is liable for delays caused by circumstances beyond reasonable control.
16.4 Notices
PostGrid may send notices to you by email to the address associated with your account, through in-product notifications, or by posting updates to these Terms or the Policies on the Legal Page. You may send notices to PostGrid by email to legal@postgrid.com.
16.5 Entire Agreement
These Terms represent the parties’ complete and exclusive understanding relating to the subject matter of these Terms. It supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the PostGrid Services or any other subject matter covered by these Terms.
Definitions
Aggregated Anonymous Data means data derived from Customer Data that has been de-identified, aggregated, and processed so that it cannot reasonably be associated with Customer or any individual.
Application Programming Interface (API) means the software interfaces, endpoints, and related technical specifications made available by PostGrid to enable programmatic access to the Services, including the Address Verification API and Print & Mail API.
Customer means the individual or legal entity that creates an account, accepts these Terms, or otherwise accesses or uses the Services. If an individual accesses or uses the Services on behalf of an entity, “Customer” refers to that entity, and such individual represents and warrants that they have authority to bind that entity to these Terms.
Customer Data means any data, content, documents, mailing lists, address files, templates, metadata, or other materials you submit, upload, or otherwise provide through the Services. Customer Data does not include Aggregated Anonymous Data.
Policies means the AUP, Privacy Policy, Cookie Policy, SLA, DPA, DMCA Policy, and any additional terms referenced in or published on the Legal Page, as each may be updated from time to time.
Services means PostGrid’s hosted software, APIs (including Address Verification APIs and Print & Mail APIs), dashboards, print-and-mail production and fulfillment services, address verification tools, mailing workflows, integrations, data processing capabilities, and any related features, functionality, or products made available by PostGrid to Customer, whether through an executed agreement, online subscription, or otherwise.
Subscription Fees means the recurring fees associated with your selected Online Plan.
Subscription Term means the twelve-month period applicable to your Online Plan unless otherwise expressly stated during online sign-up or in-product checkout.
